Indian Marketplace Compliance Clauses
The following clauses are designed to help Navyathra operate more clearly as a marketplace/intermediary platform under applicable Indian eCommerce and consumer protection principles.
These clauses can be added to your Terms & Conditions, Vendor Agreement, Privacy Policy, or displayed separately as “Marketplace Compliance Clauses.”
1. Marketplace Intermediary Status
Navyathra operates as an intermediary marketplace platform facilitating transactions between independent third-party sellers/vendors and customers.
The Platform does not:
- Manufacture products
- Own inventory (unless specifically stated)
- Directly control product manufacturing
- Guarantee product specifications provided by vendors
Ownership and responsibility for listed products remain solely with the respective vendor/seller until delivery to the customer.
2. Vendor Identification and Responsibility
Each vendor/seller using the platform is independently responsible for:
- Product quality
- Product legality
- Product safety
- Product warranties
- Tax compliance
- Consumer grievance handling relating to products
- Accuracy of product descriptions and pricing
The Platform may display vendor/seller details wherever required under applicable law.
3. Consumer Protection Compliance
The Platform aims to comply with applicable provisions of:
- Consumer Protection Act, 2019
- Consumer Protection (E-Commerce) Rules, 2020
- Information Technology Act, 2000
- Applicable GST and taxation regulations
Customers are encouraged to review vendor details, product descriptions, and policies carefully before making purchases.
4. Product Information Disclaimer
Product descriptions, images, specifications, pricing, and promotional content are primarily provided by vendors/sellers.
While reasonable efforts are made to maintain accuracy, Navyathra does not independently verify every product listing and shall not be held responsible for inadvertent inaccuracies, omissions, or vendor misrepresentations.
5. Ranking and Listing Transparency
Product visibility, recommendations, featured listings, or promotional placements on the platform may be influenced by:
- Vendor participation
- Promotional campaigns
- Customer preferences
- Product popularity
- Operational considerations
- Sponsored placements (where applicable)
The Platform reserves the right to organize and display listings at its discretion.
6. Pricing Transparency
Displayed product pricing may include:
- Vendor product charges
- Applicable taxes including GST
- Platform/service fees
- Shipping charges (if applicable)
A platform facilitation fee of 6% and applicable 18% GST may be charged in accordance with operational and regulatory requirements.
7. No Guaranteed Return Policy
As the platform currently operates with multiple independent vendors and limited operational infrastructure, returns, exchanges, and refunds may not be available for all products.
Customers are advised to review all product information carefully before placing orders.
Any future changes to return/refund policies shall be updated on the website.
8. Grievance Redressal
For complaints, legal concerns, or grievance-related matters, users may contact:

The Platform shall make reasonable efforts to address complaints in accordance with applicable Indian laws.
9. Intellectual Property Compliance
Vendors shall ensure that products, images, trademarks, designs, and listings uploaded on the platform do not infringe third-party intellectual property rights.
The Platform reserves the right to remove allegedly infringing content upon receiving valid complaints or legal notices.
10. Prohibited Activities
Users and vendors shall not:
- Upload counterfeit products
- Violate intellectual property rights
- Engage in fraudulent transactions
- Misrepresent products
- Manipulate reviews or ratings
- Upload unlawful or prohibited content
Violation may result in suspension, termination, legal action, or reporting to authorities.
11. Limitation of Marketplace Liability
To the maximum extent permitted by law, Navyathra shall not be liable for:
- Vendor misconduct
- Product defects
- Delivery failures caused by vendors
- Product quality disputes
- Indirect or consequential losses
The Platform’s role is limited to providing technology, listing, payment facilitation, and marketplace-related services.
12. GST Compliance
Vendors are solely responsible for:
- GST registration compliance (where applicable)
- Accurate tax invoicing
- Reporting and remittance of taxes
- Compliance with Indian taxation laws
The Platform may collect, deduct, or report taxes where required under law.
13. Governing Law and Jurisdiction
These clauses shall be governed by the laws of India.
Any disputes arising from platform usage shall be subject to the jurisdiction of competent courts located in Telangana, India.
