Vendor Agreement
This Vendor Agreement (“Agreement”) is entered into between Navyathra (“Platform”, “Company”, “We”, “Us”) and the Vendor/Seller (“Vendor”, “Seller”, “You”) who registers and lists products for sale on the platform.
By registering as a vendor on the platform, the Vendor agrees to comply with the following terms and conditions.
1. Nature of Relationship
Navyathra operates as an online marketplace platform facilitating the listing and sale of products by independent third-party vendors.
The Vendor acknowledges that:
- The Platform acts solely as a marketplace facilitator.
- Ownership of products remains with the Vendor until sold to the customer.
- The Vendor is solely responsible for product manufacturing, sourcing, storage, packaging, shipping, and compliance.
Nothing in this Agreement shall be construed as creating a partnership, agency, franchise, or employment relationship.
2. Vendor Eligibility
By registering on the platform, the Vendor confirms that:
- They are legally authorized to sell the listed products.
- All business licenses, registrations, and tax compliances required under applicable law are maintained.
- The products listed do not violate any laws, intellectual property rights, or prohibited product categories.
3. Product Responsibility
The Vendor shall bear sole responsibility for:
- Product quality
- Product authenticity
- Product safety
- Product legality
- Material composition
- Manufacturing standards
- Accurate descriptions
- Product images
- Pricing
- Inventory management
- Packaging
- Shipping and delivery
- Customer complaints relating to products
The Vendor agrees not to upload misleading, false, copied, or deceptive product information.
4. Quality Commitment
The Vendor agrees to maintain reasonable quality standards for all products sold through the platform.
The Vendor further confirms that:
- Products supplied shall match the descriptions and images displayed on the website.
- Defective, counterfeit, damaged, or poor-quality products shall not be knowingly sold.
- Customer satisfaction and product consistency shall be maintained to the best possible extent.
Navyathra reserves the right to suspend or remove vendors repeatedly receiving serious customer complaints or quality issues.
5. Platform Fees and Charges
The Vendor agrees that:
- A platform/service fee of 6% shall be charged by the Platform on applicable sales transactions.
- Applicable taxes including 18% GST shall apply as per Indian tax laws.
- The Platform may deduct applicable fees, taxes, penalties, or operational charges before vendor payout settlement.
The Platform reserves the right to revise platform fees upon prior notice.
6. Payments and Settlements
Vendor payouts shall be processed after:
- Successful order completion
- Deduction of applicable platform fees, taxes, refunds (if any), penalties, or other dues
Settlement timelines may vary depending on operational and payment gateway processes.
The Platform reserves the right to temporarily withhold settlements in case of:
- Fraud investigations
- Excessive customer complaints
- Policy violations
- Legal disputes
7. Shipping and Fulfillment
The Vendor shall ensure:
- Timely dispatch of orders
- Proper packaging standards
- Accurate shipment tracking details
- Compliance with delivery timelines
The Vendor shall be liable for losses arising from delayed shipment, wrong products, damaged packaging, or failed deliveries caused by vendor negligence.
8. Returns and Refunds
As of now, the platform operates under a limited or no-return structure unless specifically approved.
In cases of product disputes, customers may directly contact the Vendor where applicable.
The Vendor agrees to cooperate reasonably in resolving customer grievances.
Future return/refund policies introduced by the Platform shall become binding upon Vendors.
9. Intellectual Property
The Vendor confirms that:
- Product listings, images, logos, and descriptions uploaded do not infringe third-party intellectual property rights.
- The Platform is authorized to use vendor-provided content for marketing, advertising, promotions, and platform display purposes.
The Vendor shall indemnify the Platform against any intellectual property infringement claims.
10. Prohibited Products
The Vendor shall not list:
- Counterfeit products
- Illegal goods
- Restricted items
- Hazardous materials
- Offensive or prohibited content
- Products violating Indian laws or regulations
The Platform reserves the right to remove prohibited listings without notice.
11. Limitation of Liability
Navyathra shall not be liable for:
- Vendor business losses
- Product-related claims
- Customer disputes
- Delivery failures caused by vendors
- Indirect or consequential damages
The Vendor agrees that all liabilities relating to products remain solely with the Vendor.
12. Indemnification
The Vendor agrees to indemnify and hold harmless Navyathra, its owners, employees, affiliates, and partners from any claims, damages, penalties, liabilities, or legal proceedings arising from:
- Vendor products
- Customer complaints
- Legal violations
- Intellectual property infringement
- Tax non-compliance
- Misrepresentation by the Vendor
13. Suspension or Termination
The Platform reserves the right to suspend, restrict, or terminate Vendor access at any time for:
- Policy violations
- Fraudulent activity
- Excessive complaints
- Misconduct
- Non-compliance with laws
- Poor customer experience
Termination does not waive any pending liabilities owed by the Vendor.
14. Modification of Agreement
The Platform reserves the right to update or modify this Agreement at any time.
Continued use of the platform after such modifications shall constitute acceptance of the revised Agreement.
15. Governing Law and Jurisdiction
This Agreement shall be governed by the laws of India.
Any disputes arising under this Agreement shall be subject to the jurisdiction of the courts located in Andhra Pradesh, India.
